Terms of Service

Last updated · 5 October 2026

These Terms of Service ("Terms") are a binding agreement between Scalio Technology Private Limited, a company incorporated under the Companies Act, 2013 (CIN: U62099DL2025PTC452625, registered office: Basement, K-2035, CR Park, Kalkaji, New Delhi – 110019, Delhi, India) ("Scalio", "we", "us", "our"), and the person or entity that creates an account or uses the Platform ("you", "your", "Customer").

By creating an account, purchasing a Subscription, or using the Platform, you accept these Terms. If you do not accept them, do not use the Platform. If you accept these Terms on behalf of a business, you confirm that you are authorised to bind that business, and "you" means that business.

1. Definitions

  • Platform means the Scalio service in all the places it is offered: the website at scalio.app, the web application at web.scalio.app, and the Scalio mobile applications for iOS and Android.
  • Customer Content means anything you upload, connect, or otherwise make available to the Platform — including product images, brand assets, catalogues, website and social media content, contact lists, and any text or instructions you provide.
  • Output means content generated for your account through the Platform, including images, videos, AI presenter content, captions, advertisements, and written copy.
  • Credits means the unit of account used to access generation features on the Platform.
  • Subscription means a recurring paid plan giving you an allocation of Credits and the entitlements described at the point of purchase.
  • Connected Account means any third-party account you link to the Platform, such as Instagram, Facebook, WhatsApp, Google Business Profile, or an advertising account.

2. Eligibility and accounts

The Platform is offered for business use. You must be at least 18 years old and capable of entering into a binding contract. The Platform is not directed at children, and we do not knowingly permit anyone under 18 to create an account.

You are responsible for your account credentials and for all activity under your account. Tell us promptly at contact@scalio.app if you believe your account has been compromised. You must give us accurate account and billing information and keep it current.

3. Subscriptions, Credits and billing

Subscription plans, prices, and the Credits included in each plan are shown on our pricing page and at checkout. Prices are exclusive of GST and other applicable taxes unless stated otherwise.

Auto-renewal. Subscriptions renew automatically at the end of each billing period at the then-current price, until cancelled. Where you pay by UPI AutoPay, card mandate, or a similar recurring instrument, renewal is processed under that mandate, subject to the notifications and authentication steps required by the Reserve Bank of India's e-mandate framework.

Cancelling. You may cancel at any time from your account settings. Cancellation stops the next renewal; it does not shorten the period you have already paid for, and it does not by itself trigger a refund. Refunds are governed by our Cancellation & Refund Policy.

Purchases through app stores. If you subscribe through the Apple App Store or Google Play, billing, renewal, and cancellation are handled by Apple or Google under their terms, and you must manage and cancel that subscription through the relevant store.

Credits. Credits may be used only to access Scalio services. Credits are not money, carry no cash value, do not earn interest or any other return, and are not transferable, assignable, or redeemable for cash. Additional Credits may be purchased separately from a Subscription. Unused Credits expire as described at the point of purchase, and are not refundable except as set out in our Cancellation & Refund Policy or where the law requires.

Price changes. We may change prices or the composition of plans. We will give you notice before a change applies to your renewal, and you may cancel before the change takes effect.

Non-payment. If a payment fails or is reversed, we may suspend or downgrade your account until the amount is settled.

4. Your content, and the permissions you give us

You keep ownership of your Customer Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt, process, and transmit Customer Content for the purpose of operating the Platform and providing the services to you — including by passing it to the third-party providers described in our Privacy Policy. This licence lasts only as long as needed for that purpose.

Your warranties. You represent and warrant that you own or are licensed to use all Customer Content, and that providing it to us and our processing of it does not infringe any third party's rights or breach any law.

Personal data of other people. If you upload or import personal data relating to anyone else — for example customer contact lists, phone numbers, email addresses, photographs, videos, or testimonials — you represent and warrant that you have a valid lawful basis and all necessary consents and notices to do so, and to have us process that data on your behalf for the purposes you select. You are the data fiduciary or controller for that data; we process it on your instructions. You must promptly pass on to us any request from such an individual that we need to act on.

Connected Accounts. When you link a Connected Account you authorise us to act on your behalf on that account to the extent needed to deliver the features you have enabled — for example to publish content, run or manage advertisements, respond to messages, or manage reviews. Your use of those third-party services remains governed by their own terms, and you are responsible for complying with them. You may disconnect a Connected Account at any time.

5. Output: who owns what

You own the Output generated on your account. As between you and Scalio, and to the extent permitted by the terms of the underlying model providers, we assign to you all right, title, and interest we may have in Output generated for your account, effective on payment of the applicable fees.

What we keep. You grant us a non-exclusive, worldwide, royalty-free licence to use Customer Content and Output: (a) to operate, secure, support, and improve the Platform; and (b) to display and reference your business name, logo, and examples of Output in our marketing, including on our website, in case studies, and in advertising. You may withdraw the permission in (b) at any time by writing to contact@scalio.app, and we will stop using the relevant material in new marketing and remove it from our own channels within a reasonable period.

Similar Output. Generative systems can produce similar or identical results for different users. We do not warrant that Output is unique, and nothing here prevents us from generating comparable Output for others.

Our Platform. We own the Platform itself — the software, models and workflows we have built, our brand, and all related intellectual property. These Terms do not transfer any of it to you.

6. Generated content: accuracy, review and responsibility

The Platform uses artificial intelligence, including models operated by third parties. AI systems can produce results that are inaccurate, misleading, offensive, out of date, or that resemble existing works. Output is provided for you to review and is not professional, legal, financial, or medical advice.

You are responsible for what you publish. You must review Output before it is published or used, and you remain responsible for it once it is published through your Connected Accounts — including for its accuracy, for any claims it makes about your products or services, and for compliance with advertising, consumer protection, and platform rules.

Automated publishing. The Platform offers modes in which content is created and published without you approving each item. If you enable an automated publishing mode, you do so knowing that content may go live on your Connected Accounts without prior review by you or by us, and you accept responsibility for content published that way. You can disable automated publishing at any time in your account settings.

Labelling. You are responsible for labelling or disclosing Output as AI-generated where the law, or the rules of the platform you publish to, require it.

Real people. The AI presenters we make available are synthetic and are not intended to depict any real individual. You must not use the Platform to generate content depicting a real person — including any public figure or celebrity — without that person's consent, and you must have all necessary consents and releases for any image, video, or voice of a real person that you upload.

7. Acceptable use

You must not use the Platform to:

  • break any law, or infringe anyone's intellectual property, privacy, publicity, or personality rights;
  • create or publish content that is defamatory, obscene, sexually explicit, hateful, harassing, or that depicts a real person without consent;
  • create content that is deceptive or misleading, including false claims about products, services, or endorsements;
  • impersonate any person or business, or misrepresent your affiliation with anyone;
  • send unsolicited commercial messages, or market to people who have not consented or who have opted out;
  • probe, scrape, overload, or interfere with the Platform or its security, or try to access it other than through the interfaces we provide;
  • reverse engineer the Platform, or use it to build or train a competing product or model; or
  • resell, sublicense, or white-label the Platform without our written agreement.

We may remove content or suspend access where we reasonably believe this section has been breached. Further detail is set out in our Acceptable Use Policy.

8. Service availability and changes

We aim to keep the Platform available but do not promise uninterrupted or error-free service. We may change, add, or withdraw features. Where a change materially reduces a core feature of your paid plan, we will give you reasonable notice and you may cancel.

The Platform depends on third-party services, including AI model providers and the social media and advertising platforms you connect. Those services may change, impose limits, or become unavailable, and this may affect what the Platform can do. We are not responsible for the acts or omissions of those third parties.

Backups. We take reasonable steps to back up data, but we do not guarantee against loss or corruption. You should keep your own copies of anything important to you.

9. Confidentiality

Each party may receive non-public information from the other. Each party will protect the other's confidential information with reasonable care, use it only for the purposes of these Terms, and not disclose it except to people who need it and are under similar obligations, or where disclosure is legally required.

10. Suspension and termination

You may stop using the Platform and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, if your payment fails, or if your use poses a risk to the Platform or to others. Where it is reasonable to do so, we will give you notice and an opportunity to fix the problem first.

On termination, your right to use the Platform ends. We may delete your data after a reasonable period; export anything you need before closing your account. Sections that by their nature should survive — including ownership, confidentiality, disclaimers, liability, indemnity, and governing law — will survive.

11. Disclaimers

To the maximum extent permitted by law, the Platform is provided "as is" and "as available", and we exclude all warranties, conditions, and representations not expressly stated in these Terms — including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Platform will meet your requirements, that Output will be accurate, lawful, non-infringing, or effective, or that using the Platform will produce any particular commercial result.

12. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, business, or data, however caused.

Our total aggregate liability arising out of or in connection with these Terms and your use of the Platform is limited to the lower of: (a) the amounts you paid us in the twelve (12) months before the event giving rise to the claim; and (b) ₹10,000 (Rupees ten thousand).

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation. Nothing in these Terms affects any right you have as a consumer under the Consumer Protection Act, 2019 that cannot be waived by agreement.

13. Indemnity

You will indemnify and hold us harmless against claims, damages, losses, and reasonable costs arising from: (a) Customer Content, including personal data of other people that you upload or import; (b) Output you publish or use; (c) your use of Connected Accounts; and (d) your breach of these Terms or of any law. We will notify you of any such claim and allow you to participate in its defence.

14. Governing law and disputes

These Terms are governed by the laws of India. The courts at New Delhi have exclusive jurisdiction, subject to any non-waivable right you may have to bring proceedings elsewhere as a consumer.

Before starting proceedings, please contact us so we can try to resolve the matter informally. Complaints may be raised with our Grievance Officer, whose details are published in our Privacy Policy.

15. Changes to these Terms

We may update these Terms. If a change is material, we will give you reasonable notice — by email or in the Platform — before it takes effect. Continuing to use the Platform after that date means you accept the updated Terms. If you do not accept them, stop using the Platform and cancel your Subscription. The version in force is the one published on this page, and the date it took effect is shown at the top.

16. General

These Terms, together with the policies they link to, are the entire agreement between us about the Platform. If any provision is held unenforceable, the rest continues in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. Nothing here creates a partnership, agency, or employment relationship.
